License agreement with the end user (EULA)

dev39 s.r.l. INTENDS TO OFFER TO LICENSE THE SOFTWARE (THE TERMS SET FORTH BELOW) TO YOU (AS A CONSUMER OR AS EMPLOYER) ONLY IF YOU ACCEPT ALL OF THE TERMS OF THIS LICENSE AGREEMENT EULA AND TERMS AND CONDITIONS RELATED THERETO.
BY CLICKING THE 'ACCEPT' OR 'YES' LOADING THE SOFTWARE OR OTHERWISE INDICATING YOUR AGREEMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS OF THIS AGREEMENT, AND THEM HAPPENS TO ENTER INTO THIS LICENSE AGREEMENT EULA BECOME SO THAT 'A LEGAL AGREEMENT BETWEEN AND APPLICABLE dev39 s.r.l. AND SINGLE LICENSEE (IF A CONSUMER) OR BETWEEN dev39 s.r.l. AND ITS ACTIVITIES (IF YOU IS AN ENTREPRENEUR).

The Software is licensed, not sold.
This EULA license agreement concerning the grant by dev39 s.r.l. a license granted to the licensee for the use of software and other documentation for the user.
This license agreement EULA refers to all updates and steps to the upper classes, where provided by dev39 s.r.l. after installing the software.

DEFINITIONS
Automatic Renewal: indicates the functions necessary to renew a license to its expiration date, without the need for further notification.
Updates and upgrades: defines the updating of computer programs. The classification of the update as it is or as an upgrade is at the discretion of dev39 s.r.l..
Computer: indicates any system capable of processing data by means of calculation instructions programmable.
Consumer shall mean any natural person to whom it was provided by a dev39 s.r.l. Software for personal use involving his family.
Customer: indicates a consumer and / or a businessman.
Documentation: means the written materials, prepared texts printed or electronic, describing the features of the software and / or updates and passes to the upper classes designed to make effective use by the licensee of the software, updates and / or of his passes in the upper classes. This documentation does not affect the terms of this license agreement or EULA on its terms and conditions.
Contractor: means any natural person, legal entity or company is not involved in using personal or family and having legal power that allows you to order and receive the software dev39 s.r.l. in the exercise of his commercial or independent professional or work the other type.
Cost: indicates the price or the license fee charged by dev39 s.r.l. for the use of the Software.
License: indicates the right to use the Software under this License Agreement EULA and the Terms and Conditions applicable at the date of signing of the contract in question. The License establishes the nature and scope of the right of the licensee to use the Software. For software which is available a service of updating the license also entitles you to receive continuous updates / steps to the upper classes available during the period of validity of the license for the Software.
License duration: means the period in which it guarantees the license to use the Software. The License Term begins when the licensee has received a key to use the software.
Dealer: indicates a customer who was provided the software with the explicit intention of selling it.
Software: means the computer programs of dev39 s.r.l. in their object code format including all upgrades and passes to the upper classes included and made available by dev39 s.r.l. and for which dev39 s.r.l. has granted a license to the licensee.
License Term Test: means a license of use of the software for testing purposes granted free of charge to the customer for a limited period.
Updates and passes to the upper classes: refers to updating the software. The definition of the update as Update or as Step to upper class is at the sole discretion of dev39 s.r.l..
Update service: indicates the continuous updating of the Software Updates or passes through and / or upper classes and their delivery to the licensee by dev39 s.r.l..
Some require a software update service for functional use.
At its sole discretion dev39 s.r.l. can lend services through its Update Service in the form of upgrades or passes to the upper classes.

PROPERTY RIGHTS '
The software is protected by international copyright treaties and other laws.
dev39 s.r.l. and its licensors owns and retains the right, title and interest to and regarding the Software including all copyrights, patents, trade secrecy, trademarks and other intellectual property rights.
This license agreement EULA does not transfer to you any title or reference for the software.
You do not acquire any rights to the software except as specified below.

GRANT OF LICENSE
With this contract dev39 s.r.l. grants you a non-exclusive, non-transferable license to use the software (including computer data or third-party software that dev39 s.r.l. has licensed for inclusion in Software, written materials or files related) defined by the conditions specified herein.
For software which provides dev39 s.r.l. Updates and passes to the upper classes, the license granted to the licensee will also be entitled to receive and use the Updates and passes to the upper classes for the Term of the License.
For software for which dev39 s.r.l. does not provide Updates and the Passage to the upper classes may use only the version of the Software paid by you for the Term of the License.

CONDITIONS OF USE
The Software may not be reproduced, transferred or decompiled (ie recompile the source code), if this was not expressly permitted by this license agreement EULA, or permitted by law.
If you want to reverse, build, decompile or dismember the software (changes later defined as 'Decompilation') in order to achieve interoperability with other computer programs should contact dev39 s.r.l. before decompile the software and the availability of information to help you such interoperability.
Until dev39 s.r.l. failed to provide such information about interoperability, the licensee shall have no right to decompile the software.
The software which are not available Special licenses for Multiple Use can be used by the licensee on a single computer.

If you were to change the Computer Software must be deleted from the computer on which it was previously installed before reinstalling the software on a different computer.
For software in which the product information provide special Licenses for Use Plurimo the multiple use is only allowed, and to the extent that the beneficiary has bought and has been granted by dev39 s.r.l. the type or number of licenses accordingly.

You may not and may not allow another person to:
Copy (more than once for backup purposes), lease, lend or assign leased a part of the Software. You want to use the software on another program must delete the program from your computer that is currently in use before installing it on the computer.
Modify or create derivative works of the Software, in whole or in part.
NOTE: AN OPERATION AS THIS MAY BE GRANTED VOID ANY WARRANTY.
Remove all references to the owner, serial numbers, labels or copy protections from the Software

OBLIGATIONS OF THE LICENSEE
Preparation of a hardware and software environment functional use of the software is only responsible for the licensee.
The same goes for the regular backups of the system data processing of the licensee.

LICENSE TERM TEST
A license Term Test is provided to you free of charge and on an 'as is' except for Software Operations.
Consequently dev39 s.r.l. no warranty to you of the Software. dev39 s.r.l. does not provide support for the use of the product with respect to these licenses and the licensee can not use them in a production environment.

ACTIVATION
The Software contains technology intended to prevent illegal use or not eligible.
The Software may contain a control technology that limits the ability of the Licensee to install and uninstall the software on a machine for a specified number of times and for a number of machines.
The Software may require activation as explained during installation and in the Documentation.
If a possible activation procedure applicable not executed, the software may only run for a limited period of time.
If activation is required, and this procedure is not completed within the time period indicated in the Documentation and explained during installation, the software will cease to function until the activation process is not completed.
At that point all the features of the software will be restored.

AUTOMATIC RENEWAL
If you subscribe to an automatic renewal of a license, if it has not been terminated by either party at least 30 days before the expiry date of the term of the updated license it will be renewed automatically at list price valid at the time.
The new license will have the same duration with the same time limit for the commencement of the previous deadline.

EFFECT OF TERMINATION OR EXPIRATION OF THE LICENSE
The termination or expiration of the license granted below indicates that the right of the licensee to use the software and updates, and the steps and to the upper classes ends. From that date you will not receive further updates and will remove the software and copies of back-up from his computer. dev39 s.r.l. may require the licensee to provide written confirmation of the destruction or deletion of the material.

TECHNICAL SUPPORT
dev39 s.r.l. offers of technical support services.
This technical support will be provided at the sole discretion of dev39 s.r.l. without any guarantee or warranty of any kind.
It is your responsibility to make a copy of all existing data, software and programs before receiving any support from dev39 s.r.l..
A dev39 s.r.l. its sole discretion reserves the right to refuse, suspend or discontinue any technical support.

ADDITIONAL TERMS FOR SOFTWARE BETA
If the Licensed Software that Licensee receives with this EULA, is a pre-commercial software or a 'BETA' ('pre-release Software'), in the event that any provision in this section is in conflict with any other term or condition of this EULA, this section supersedes such (i) term (s) and condition (s) in conflict, regarding the pre-release Software, but only to the extent necessary to resolve the conflict.
Licensee acknowledges that the software pre-release is not the end product of dev39 s.r.l. and may contain bugs, errors and other problems that could cause system or other and data loss. Consequently, dev39 s.r.l. disclaims any warranty obligation or liability of any kind against the Licensee.
IN APPLICABLE JURISDICTIONS WHERE LIABILITY OF PRE-RELEASE SOFTWARE CAN NOT BE EXCLUDED BY LAW, BUT BE LIMITED LIABILITY dev39 s.r.l. AND THAT OF ITS SUPPLIERS SHALL BE LIMITED IMP ORTHO TOTAL OF FIFTY euro (50.00 €).
Licensee acknowledges that dev39 s.r.l. He has not promised or guaranteed to Licensee that the software pre-release is announced or made available to anyone in the future and that dev39 s.r.l. has no express or implied obligations to Licensee to announce or introduce the Pre-release Software.
dev39 s.r.l. You may decide not to introduce a product similar to, or compatible with, the pre-release software. Accordingly, Licensee acknowledges that any research or development that Licensee performs regarding software pre-release, or any product associated with the Pre-release Software, is done entirely at the risk of the Licensee.
During the term of this EULA, if requested by dev39 s.r.l., Licensee will provide dev39 s.r.l., feedback regarding testing and use of the Pre-release Software, including error or bug.
In the event that Licensee has been provided the Pre-release Software pursuant to a separate written agreement, the use by the Licensee of the Licensed Software will be subject to the terms of that contract.
Notwithstanding anything in this EULA to contra ria, will return or destroy all unreleased versions of the software pre-release within 30 days after completion of the test the pre-release software, if that date is earlier than the date scheduled for dev39 s.r.l. the first commercial shipment of the software publicly released (commercial).
LIMITATIONS OF WARRANTIES AND OBLIGATIONS OF PARTIES
Limited Warranty: dev39 s.r.l. warrants that for thirty (30) days from the date of purchase, any paid version of the software will work in principle in accordance with the Documentation and that the media (eg., CD ROM), if any, in which the Software is contained and provided to you will be free from defects in materials and execution.
R Exclusive Remedy for the customer: The exclusive remedy in favor of the licensee in case of breach of the foregoing limited warranty will be, at the discretion of dev39 s.r.l., (i) return of the cost paid by you, if it has been paid, or (ii) replacement of the media faults in which is contained the software. The licensee is required to return all media failure to dev39 s.r.l. or dealer that has provided them to him at his own expense, by showing a copy of the receipt. This limited warranty is void if the failure is an accident, or by improper use or by the licensee itself.

LIMITS OF WARRANTY SOFTWARE
EXCEPT TO THE TERMS OF WARRANTY SET FORTH BELOW, ALL SOFTWARE IS PROVIDED 'AS IS' AND DOES NOT WARRANT dev39 s.r.l. ITS USE OR ITS PERFORMANCE IN ANY WAY SPECIFICALLY EXCLUDING ALL OTHER WARRANTIES OF ANY KIND: EXPRESS, IMPLIED OR OFFICIALS INCLUDING - BUT NOT LIMITED - ALL IMPLIED WARRANTIES OF EFFICIENCY FOR A PARTICULAR PURPOSE.
dev39 s.r.l. THEN EXPRESSLY DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, SATISFACTORY QUALITY Â Capacities D'INTEGRATION SOFTWARE TO OTHER PRODUCTS.
YOU ASSUME RESPONSIBILITY FOR SELECTING THE SOFTWARE à FOR THE ACHIEVEMENT OF EXPECTED RESULTS AND LIABILITY Á INSTALLATION, USE AND RESULTS OBTAINED FROM THE SOFTWARE.
BUT NOT LIMITED TO THE CONDITIONS ABOVE dev39 s.r.l. NOT WARRANT THAT THE SOFTWARE SAR FREE SHOOTING OR INTERRUPTIONS OR OTHER FAILURES OR THAT THE SOFTWARE SAR MEET THE NEEDS YOU.

LIMITATIONS OF LIABILITY '
dev39 s.r.l. IS NOT RESPONSIBLE IN ANY WAY TO YOU OR ANY OTHER PERSON WITH REGARD TO DAMAGES FOR LOST PROFITS, LOSS OF GOOD REPUTATION OR OTHER INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES CAUSED BY THE NEGLIGENCE OF ANY NATURE INCLUDING, SO UNLIMITED DAMAGES CAUSED BY BUSINESS INTERRUPTION, LOSS OF DATA, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER DAMAGES OR LOSSES. dev39 s.r.l. SAR NOT IN ANY WAY LIABLE FOR MORE THAN LICENSE FEE PAID BY YOU EVEN IF TO dev39 s.r.l. you reported the à POSSIBILITY OF DAMAGES.

CONFIDENTIALITY AND DATA PROTECTION
dev39 s.r.l. uses some applications and tools through its website and in the software to collect anonymous statistics on our software and on the computer system of the licensee to dev39 s.r.l. useful for the operation of the Software.
Under article 13 of the d. lgs. 196/2003 (the 'Law'), dev39 s.r.l. inform the customer, which takes note of the fact that personal data provided by you may be processed, either manually or by automated means, by dev39 s.r.l. Via Betty Ambiveri, 15 - 24126 Bergamo. The holder of the dev39 s.r.l. treatment is its legal representative. Such treatment is necessary for the performance of obligations arising from the contractual relationship and, therefore, does not require the consent of the customer pursuant to art. 7, d. lgs. 196/2003; the customer can exercise their rights to consult, modify, delete your data or oppose for legitimate reasons their treatment by contacting the owner. dev39 s.r.l. undertakes not to disclose to third parties the personal data of the customer and to keep them confidential. It provides to dev39 s.r.l. express consent to the transmission of this data to their subjects from her delegates for the performance of technical and administrative services related to the subject of this contract and having signed a confidentiality agreement. In the event that the customer has chosen to pay the fees due to dev39 s.r.l. for the provision of the service by charging the same credit card, the customer gives his consent to the disclosure by the issuer of the credit card to dev39 s.r.l. of each change of identification data of the card, even if carried out in advance of the communication addressed to him. The customer can allow dev39 s.r.l. dealing directly or to disclose personal information for the following purposes:

a) draft studies and statistics and market.
b) to send advertising and informative.
c) to carry out direct sales or placement of products or services.
d) to send commercial information.
e) interactive commercial communications.

In order to ensure the confidentiality of the connection register, dev39 s.r.l. Introduce appropriate technical and organizational measures.
dev39 s.r.l. and the Customer undertake to keep confidential all information obtained in the execution of the contract, as well as data and communications transmitted by means of the service, and not to disclose to anyone without the consent of the other party, unless they are already in possession of the recipient prior to such disclosure or in the public domain as a result of breach of this duty of confidentiality or they have been obtained by a third party not subject to confidentiality restrictions. By signing this license agreement EULA you agree to comply with the terms of dev39 s.r.l., applicable at any time.

LEGISLATION AND JURISDICTION
This EULA is subject it will be governed by and construed in accordance with the substantive laws in force in the jurisdiction in ITALY.

MISCELLANEOUS
The presence you license agreement EULA defines your rights to use the Software and constitute the entire agreement between the parties.
This license agreement EULA supersedes any other communication, representation or disclosure on the Software under this License Agreement EULA.
No conditions of this contract will be void if not in the presence of an exemption in writing signed by an authorized representative of dev39 s.r.l..
All rights not expressly specified below are reserved by dev39 s.r.l.. The descriptive titles of this license agreement EULA have been included as a convenience and do not limit or otherwise affect the structure or interpretation of this license agreement EULA.
