End-User License Agreement for
DocuCan Document Management Software
IMPORTANT-READ CAREFULLY: This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Marsep KCD which includes ALL symbols and artwork, documentation and software contained in the software product identified above (SOFTWARE PRODUCT). By installing, copying or otherwise using the SOFTWARE PRODUCT you agree to be bound by the terms of this EULA.

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

GRANT OF LICENSE
Marsep KCD grants you a non-exclusive license to use the SOFTWARE PRODUCT.

DESCRIPTION OF RIGHTS AND LIMITATIONS
Installation and use. You may install a copy of the SOFTWARE PRODUCT on one personal computer (PC) at one address (including laptops normally kept at that address) per license. Alternatively you may install a copy of the SOFTWARE PRODUCT on a single personal computer for commercial use per license. Any use of the SOFTWARE PRODUCT for profit or by any business constitutes commercial use. Any use of the SOFTWARE PRODUCT by recognized academic or charitable institutions constitutes non-commercial use.

Limitations on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
Keep your license key private. Software license keys issued to you by Marsep KCD ('your license keys') are unique to you. You agree to diligently keep your license keys private. If any of your license keys are used by a third party to access any service from Marsep KCD without our prior permission then all end user license agreements you have in place with Marsep KCD for the use of software will be immediately terminated. You will be notified of this by letter sent to your most recent address in our records.

Transfer. The SOFTWARE PRODUCT includes entitlement to full technical support services from Marsep KCD. This entitlement is limited to the original purchase of the SOFTWARE PRODUCT and entitlement to technical support cannot be transferred to another party. You may transfer your rights under this EULA excluding those to technical support to a third party provided you have prior written authorization from Marsep KCD and you agree (a) to include the original letter of authorization from Marsep KCD with the transfer and (b) to transfer all of your rights under this EULA to the third party and (c) to transfer every copy of the SOFTWARE PRODUCT (including all component parts, the media and printed materials, any upgrades and this EULA) and (d) to include all prior versions of the SOFTWARE PRODUCT if the SOFTWARE PRODUCT is an upgrade to another product and (e) to inform the third party of the terms of this EULA.

Rental. You may not rent, hire or lease the SOFTWARE PRODUCT.

Termination. Without prejudice to any other rights, Marsep KCD may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies you have of the SOFTWARE PRODUCT and all of its component parts.

Limited Warranty. Marsep KCD warrants that (a) the SOFTWARE PRODUCT will perform substantially in accordance with the accompanying written materials for a period of ninety (90) days from the date of receipt. To the extent allowed by applicable law, implied warranties on the SOFTWARE PRODUCT is ninety (90) days. To the maximum extent permitted by applicable law, Marsep KCD and its suppliers disclaim all other warranties, either express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, with regard to the software product, and any accompanying hardware. This limited warranty gives you specific legal rights. Marsep KCD and its suppliers' entire liability and your exclusive remedy shall be, at Marsep KCD's option, either (a) return of the price paid, or (b) repair or replacement of the SOFTWARE PRODUCT. This Limited Warranty is void if failure of the SOFTWARE PRODUCT or hardware has resulted from accident, abuse, or misapplication. Any replacement SOFTWARE PRODUCT will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer.

Liability. To the maximum extent permitted by applicable law, in no event shall Marsep KCD or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business or personal information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE PRODUCT, even if Marsep KCD has been advised of the possibility of such damages. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

(c) 2014 Marsep KCD. All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, symbols, text, incorporated into the SOFTWARE PRODUCT) are owned by Marsep KCD or its suppliers. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material except that you may make one copy of the SOFTWARE PRODUCT solely for backup or archival purposes.
