Filebolt Consumer Application End User License Agreement



This End User License Agreement (hereinafter “Agreement”) is a legal agreement between you and Envault Corporation (hereinafter “Envault”) for the use of Envault’s Filebolt consumer application (hereinafter “Application”), provided by Envault, producer and owner of all the rights in the Application. Envault reserves all the rights to the Application.

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING ANY ENVAULT CORPORATION PRODUCTS.

YOU SIGNIFY YOUR ACCEPTANCE OF THIS AGREEMENT INCLUSIVE OF ALL AND ANY FUTURE UPDATES BY CLICKING ON THE APPROPRIATE BUTTON, OR BY DOWNLOADING, INSTALLING, ACTIVATING OR USING THE ENVAULT APPLICATION, AND SIMULTANEOUSLY YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND ITS CONTENTS, AND THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

If you do NOT agree with the terms and conditions of this Agreement, you are not authorized to install, copy, access or otherwise use the Application for any purpose whatsoever.


License Grant
Envault grants you a personal, revocable, non-exclusive, non-sublicensable, non-transferable, royalty-free limited right to install and use the Application strictly in accordance with the terms and conditions of this Agreement, Terms of Use, Privacy Policy and any other agreements associated with the use of the Envault Application. The license for the Application is granted for your personal, non-commercial purposes as a private user. The licensing period as well as the total amount of devices the license can be used on will be specified and confirmed at the time of purchase.

Restriction of Use
You may not decompile, reverse engineer, disassemble, modify, rent, lease, loan, distribute, attempt to derive the source code or create derivative works of, make improvements from or decrypt the Application or any portion thereof. You may not sell, lease, loan, distribute, transfer or sublicense the Envault Application. You shall not use the Envault Application in a manner that breaches this Agreement, the intellectual property rights of Envault or the laws of Finland.

No Assignment
You may not assign or transfer your rights under this Agreement. Any purported assignment or transfer in violation of this paragraph is void.

WARRANTY DISCLAIMER
NOTWITHSTANDING ANYTHING TO THE CONTRARY AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENVAULT PROVIDES THE APPLICATION “AS-IS” AND “AS AVAILABLE” AND DISCLAIMS AND EXCLUDES ALL WARRANTIES AND CONDITIONS, WHETHER STATUTORY, EXPRESS OR IMPLIED. ENVAULT DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE APPLICATION. YOU ASSUME THE ENTIRE RISK AS TO THE PERFORMANCE AND QUALITY OF THE APPLICATION. ENVAULT MAKES NO WARRANTY THAT THE APPLICATION WILL BE UNINTERRUPTED, FREE OF VIRUSES OR OTHER HARMFUL CODE, TIMELY, SECURE, OR ERROR-FREE.

LIMITATION OF LIABILITY
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL ENVAULT OR ITS LICENSORS, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, LICENSORS, LICENSEES OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE DOWNLOAD, DISTRIBUTION, USE OR PERFORMANCE OR NON-PERFORMANCE OF THE APPLICATION, EVEN IF ENVAULT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ANY REMEDY PROVIDED FOR HEREUNDER IN ITS ESSENTIAL PURPOSE. IN NO EVENT WILL ENVAULT’S OR ITS LICENSORS' TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US FOR THE USE OF THE USE OF THE APPLICATION.

Breach of Agreement
In the event that you breach any of the provisions of this Agreement Envault is entitled to immediately and without notice terminate this Agreement and the granted license.

Term and Termination
Upon termination you agree to return the Application to Envault Corporation without retaining any copies of the same or destroy all copies of the Application.

Entire Agreement and Amendments to this Agreement
This Agreement sets forth the entire understanding and agreement between you and Envault, supersedes all prior agreements, whether written or oral, with respect to the Application. Envault reserves the right, at any time and from time to time, to update, revise, supplement, and otherwise modify this Agreement and to impose new or additional rules, policies, terms, or conditions on your use of the Application. Such updates, revisions, supplements, modifications, and additional rules, policies, terms, and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the Application following any updates will be deemed to constitute your acceptance of any and all such changes to this Agreement.

Severability
In the event any provision of this Agreement is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of any of the remaining provisions shall not in any way be affected or impaired and a valid, legal, and enforceable provision of similar intent and economic impact shall be substituted therefor.

Governing Law and Jurisdiction
Any dispute or claim arising out of or in connection with this Agreement, including without limitation non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of Finland without regard to its conflict of law provisions.
