KONOD SOFTWARE LICENSE AGREEMENT

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING THE SOFTWARE.

1. General
The software and documentation and any materials accompanying this License, whether on disk, in read-only memory, on any other media or in any other form (collectively the “Konod Software”) are licensed, not sold, to you by Konod LLC (”Konod”) for use only under the terms of this License. Konod reserves all rights not expressly granted to you. The rights granted herein are limited to Konod’s and its licensors’ intellectual property rights in the Konod Software, and do not include any other patents or intellectual property rights. You own the media on which the Konod Software is recorded but Konod and/or Konod’s licensor(s) retain ownership of the Konod Software itself. The terms of this License will govern any software upgrades provided by Konod that replace and/or supplement the original Konod Software product, unless such upgrade is accompanied by a separate license, in which case the terms of that license will govern.

2. Permitted License Uses and Restrictions
This License allows you to install and use one copy of the Konod Software in one Operating System on a single computer. You may also store or install a copy of the Konod Software on a storage device, such as a network server, used only to install or run the Konod Software over an internal network; however, you must acquire and dedicate a LICENSE for each separate computer on or from which the Konod Software is installed, used, accessed, displayed or run. A LICENSE for the Konod Software may not be shared or used concurrently on different computers.

The LICENSE does not permit you to: (a) grant any sublicense for all or part of the Konod Software; (b) use the Konod Software in conjunction with any other software, data or equipment in such a manner as would cause the resulting product to infringe upon any Intellectual Property Rights of third parties; (c) copy the Konod Software, except for backup or archival purposes and provided that each such copy of the Konod Software is subject to the terms of this AGREEMENT; (d) transfer, assign, rent, lease, or otherwise dispose of the Konod Software on a temporary or permanent basis; (e) use the Konod Software except as expressly permitted in this AGREEMENT.

3. Termination
This License is effective until terminated. Your rights under this License will terminate automatically without notice from Konod if (a) you fail to comply with any term(s) of this License; or (b) the license key or trial period (30 days) has expired AND you have not paid for a new valid license key. Upon the termination of this License, you shall cease all use of the Software.

4. Limitation of Liability
Konod expressly disclaims any warranty for the Konod Software. The Konod Software and any related documentation is provided 'as is' without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the Konod Software remains with you.

In no event shall Konod or you be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruptions, loss of business information, or any other pecuniary loss) arising out of the use or inability to use this Konod Software, even if such party has been advised of the possibility of such damages. The limitations and disclaimers set forth in this section do not apply to (a) either party's obligations of indemnity stated herein; or (b) to your material breach of your obligations under this license agreement.

5. Governing Law
This License shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, as if performed wholly within the state and without giving effect to the principles of conflict of law. If any portion hereof is found to be void or unenforceable, the remaining provisions of this License shall remain in full force and effect. This License constitutes the entire License between the parties with respect to the use of the Software.

6. Acceptance
If you download the Konod Software, install the Konod Software or use the Konod Software on a computer, you shall be deemed to have accepted the terms of this AGREEMENT and to be legally bound thereby. If you do not accept the terms of this AGREEMENT and do not desire to be legally bound thereby and the LICENSEE's governing law permits rescission, then you may rescind acceptance by uninstalling the Konod Software immediately. However, prior to uninstallation of the Konod Software, the LICENSEE remains bound by all terms and provisions of this AGREEMENT, and continues to be bound to the terms and the provisions which survive this AGREEMENT as enumerated herein
