Kwatee Binary Code License Agreement

IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT
CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL.

Kwatee Binary Code License ('BCL') is a legal agreement between you and the owner of Kwatee
('kwatee') for the Kwatee Agile Deployment software (the Software). By installing, copying,
or otherwise using the Software, you agree to be bound by the terms of this agreement.

IF YOU DO NOT AGREE TO THE TERMS OF THE BCL, DO NOT INSTALL OR USE THE SOFTWARE.

1. GRANT OF LICENSE
Subject to the terms and conditions of this BCL, Kwatee grants you the non-transferable and
non-exclusive license, WITHOUT LICENSE FEES, to install, make backup copies and make
INTERNAL use of the Software for personal or business purpose.

2. LICENSE RESTRICTIONS
YOU MAY NOT SELL, BUNDLE, SUBLICENSE, ASSIGN, RESELL, PLEDGE, OR RENT the Software
without the express permission of Kwatee, which consent shall be at Kwatee's discretion and
under a separate licensing agreement.

You may not modify, translate, reverse engineer, decompile, disassemble or create derivative works of
the Software.

3. SUPPORT SERVICES
Kwatee may provide you with support services related to the Software. Except as specifically
authorized in any supplemental license terms, software code provided to you as part of the
Support Services shall be considered part of the Software and subject to the terms and
conditions of the BCL.

4. TERMINATION
Without prejudice to any other rights, Kwatee may terminate this BCL if you fail to comply
with its terms and conditions. In such event, you must destroy all copies of the Software in
your possession.

5. COPYRIGHT
All title, including but not limited to copyrights, in and to the Software and any copies thereof
are owned by Kwatee or its suppliers. All title and intellectual property rights in and to the
content which may be accessed through use of the Software is the property of the respective
content owner and may be protected by applicable copyright or other intellectual property
laws and treaties. This BCL grants you no rights to use such content. All rights not expressly
granted are reserved by Kwatee.

6. NO WARRANTIES
KWATEE EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SOFTWARE. THE SOFTWARE IS
PROVIDED 'AS IS' WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING
BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR
FITNESS OF A PARTICULAR PURPOSE. KWATEE DOES NOT WARRANT OR ASSUME
RESPONSIBILITY FOR THE ACCURACY OR COMPLETENESS OF ANY INFORMATION, TEXT,
GRAPHICS, LINKS OR OTHER ITEMS CONTAINED WITHIN THE SOFTWARE. KWATEE MAKES NO
WARRANTIES RESPECTING ANY HARM THAT MAY BE CAUSED BY THE TRANSMISSION OF A
COMPUTER VIRUS, WORM, TIME BOMB, LOGIC BOMB, OR OTHER SUCH COMPUTER PROGRAM.
KWATEE FURTHER EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION TO
AUTHORIZED USERS OR TO ANY THIRD PARTY.

7. LIMITATION OF LIABILITY
IN NO EVENT SHALL KWATEE, ITS RESELLERS AND THIRD PARTY SUPPLIERS, DIRECTORS,
OFFICERS AND EMPLOYEES BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION,
LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) RISING OUT OF
'AUTHORIZED USERS' USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF KWATEE HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL KWATEE BE LIABLE FOR
LOSS OF DATA OR FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL (INCLUDING LOST
PROFIT), OR OTHER DAMAGES BASED IN CONTRACT, TORT OR OTHERWISE. KWATEE SHALL
HAVE NO LIABILITY WITH RESPECT TO THE CONTENT OF THE SOFTWARE OR ANY PART
THEREOF, INCLUDING BUT NOT LIMITED TO ERRORS OR OMISSIONS CONTAINED THEREIN,
LIBEL, INFRINGEMENTS OF RIGHTS OF PUBLICITY, PRIVACY, TRADEMARK RIGHTS, BUSINESS
INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, MORAL RIGHTS OR THE DISCLOSURE OF
CONFIDENTIAL INFORMATION.

In no event will Kwatee's liability to you, whether in contract, tort (including negligence), or
otherwise, exceed the amount paid by you for the Software under this BCL.
