END-USER LICENSE AGREEMENT (EULA)
CAREFULLY READ THE FOLLOWING TERMS BEFORE USING THIS PRODUCT. USING THIS PRODUCT INDICATES YOUR ACCEPTANCE OF THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE PRODUCT. RETURN THE PRODUCT PACKAGE WITHIN 60 DAYS OF PURCHASE (WITH YOUR RECEIPT) FOR A FULL AND NO-COST REFUND.
NOTICE TO THE USER: This End-User License Agreement ('Agreement') is a legal contract between you and BIBLESOFT(r) for the use of the Biblesoft product identified above (the 'Biblesoft Product'), which may include Biblesoft and/or third-party supplied computer software and associated media, electronic content, electronic data, printed documentation, and on-line or electronic documentation. By installing, copying, or otherwise using the Biblesoft Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, you are not authorized to use the Biblesoft Product.
The Biblesoft Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Biblesoft Product is licensed, not sold.

LICENSE
1. Severability.
In case any provision in this Agreement shall be held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

2. EMail Communication.
By installing this software, you agree to allow Biblesoft to send you email communications. Biblesoft will not share your email with other companies. You can opt-out of these emails by visiting http://www.biblesoft.com/optout.html.

3. Backup.
You may install the Biblesoft Product onto the computers in your household that are owned by you. You may make backup copies of the Biblesoft Product for your own use. You may not copy, distribute or modify the Biblesoft Product for any other purpose except as set forth in this Agreement.

4. Ownership.
The ownership of this software shall remain with Biblesoft at all times. Ownership of all included reference materials remains with the third-party copyright holders of those materials. Once installed, you may not convey the software to any other person or entity without the express permission of Biblesoft. You may not reverse engineer, disassemble, decompile or otherwise reduce the Software (or any portion thereof) or the included reference materials to a human-readable form or attempt to reconstruct or discover any source code, underlying ideas, algorithms, file formats or programming interfaces of the Software (or any portion thereof) by any means whatsoever, except to the extent that this restriction is expressly prohibited by applicable law;

5. Assignment.
You may not rent, lease, sublicense or lend the Biblesoft Product. You may, however, transfer all of your rights to use the Biblesoft Product to another party provided that: (1) you transfer this Agreement, the Biblesoft Product, and all copies, updates and prior versions to such party, (2) you retain no copies, including copies stored on a computer, and (3) the receiving party accepts the terms of this Agreement. Biblesoft may assign, delegate and/or transfer this Agreement and/or any of its rights or obligations hereunder without restriction.

6. Upgrades.
If you purchased this Biblesoft Product as an Upgrade to a previous version, you may not sell, rent, lease, sublicense, lend or transfer the previous versions that have been replaced by the Upgrade.

7. Biblesoft Authoring System(tm).
The Biblesoft Authoring System(tm), included with PC Study Bible(r), may be used to create or author content in PC Study Bible format for your personal use, or for non-commercial distribution to others in which no fee is charged, provided the materials you use are in the public domain, or are created or copyrighted by you, or, if the material is copyrighted, you have been legally granted permission to publish the copyrighted materials. Use of the Biblesoft Authoring System to create materials for commercial distribution is subject to the Licensing Agreement that accompanies the Biblesoft Authoring System.

8. Payment Plans.
If you have purchased a Payment Plan, as a Payment Plan user of any of the OneTouch Series powered by PC Study Bible, you have access to the program while connected to the Internet until you have paid your payment plan in full. If for any reason you miss a payment on the plan, your access will be interrupted until you make your payment. Two consecutively missed payments will terminate the Payment Plan and your OneTouch Series will not be accessible. NO REFUNDS will be issued on any Payment Plan.

Upon successful completion of the Payment Plan, you will be required to contact Biblesoft's Technical Support Team (via email ONLY) to have them unlock your OneTouch Series so that you may use it without being connected to the Internet. (Be sure to provide Technical Support your customer name, email address and a phone number where you may be reached during regular business hours (PST) and the best time to contact you.) Activation of your OneTouch Series after your payment plan is complete will require assistance from Technical Support. Your OneTouch Series resides on your desktop.

All other terms and conditions apply that are associated with the OneTouch Series. The OneTouch Series may only be used on ONE Computer until such time as the Payment Plan is completed. You are required to have Technical Support verify that the OneTouch Series is resident on your computer and/or verify that it is sufficiently removed from your computer in the event the Payment Plan is not completed. All restrictions applicable by law and governed by the Terms and Conditions of the OneTouch Series are adopted herein to the Payment Plan Terms and Conditions.

9. LIMITED WARRANTY
Biblesoft warrants that: (1) any media and printed user manuals it provides are free from defects in materials and workmanship under normal use and (2) the Biblesoft Product will perform in substantial accordance with its accompanying documentation, for a period of 90 days from the date of receipt. Some states and jurisdictions do not allow limitations on duration of an implied warranty, so the above limitation may not apply to you. To the extent allowed by applicable law, implied warranties on the Biblesoft Product, if any, are limited to 90 days.
NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIBLESOFT AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE BIBLESOFT PRODUCT. This limited warranty gives you specific legal rights. You may have others, which vary from state/jurisdiction to state/jurisdiction.
Biblesoft's and its suppliers' entire liability and your exclusive remedy will be, at Biblesoft's or its suppliers' option, either: (1) refund of the amount paid, if any, or (2) repair or replacement of the Biblesoft Product that does not meet Biblesoft's Limited Warranty and which you return to the place of purchase with a copy of your receipt. Dealer product return policies may vary. Please see your dealer for details. This Limited Warranty is void if failure of the Biblesoft Product has resulted from accident, abuse or misapplication. Any replacement Biblesoft Product will be warranted for the remainder of the original warranty period or 60 days, whichever is longer.

10. LIMITATIONS ON REMEDIES.
NO OTHER REMEDIES. IN NO EVENT WILL BIBLESOFT OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE BIBLESOFT PRODUCT, EVEN IF BIBLESOFT OR ANY DEALER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. In any case, Biblesoft's entire liability under any provision of this Agreement will be limited to the amount actually paid by you for the product. Because some states and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to you.

11. Governing law; Jurisdiction.
The validity, construction, interpretation and legal effect of this Agreement shall be construed in accordance with and governed by the judicial decisions and internal laws of the County of King, State of Washington and the United States of America, without giving effect to any choice of law rule that would cause the application of the laws of any jurisdiction other than the internal laws of the County of King, State of Washington and the United States of America.

12. Termination.
This license and your right to use this Software automatically terminate if you fail to comply with any provisions of this Agreement, destroy the copies of the Software in your possession, or voluntarily return the Software to us. Upon termination you will destroy all copies of the Software and documentation. Otherwise, the restrictions on your rights to use the Software will expire upon expiration of the copyright to the Software.

13. General.
This is the complete and exclusive statement of the agreement between you and Biblesoft. It may be modified only by a writing signed by an authorized officer of Biblesoft. No Biblesoft distributor, dealer, or agent is authorized to make any modification, extension or addition to this Agreement. If any part of this Agreement is found void or unenforceable, the remainder will remain valid and enforceable according to its terms.

14. Miscellaneous.
This Agreement does not, and will not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and Biblesoft. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. This Agreement, together with all agreements and statements referred to herein and incorporated herein by reference, is the entire agreement between you and Biblesoft relating to the subject matter hereof and, except as otherwise provided herein, supersedes any and all prior or contemporaneous written or oral agreements or understandings between you and Biblesoft relating to such subject matter. Notices to you may be made by posting a notice (or a link to a notice) by email, or by regular mail, at our sole and absolute discretion. Without limitation, you agree that a printed version of this Agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Nothing in this Agreement, express or implied, is intended to or will confer on any person (other than the parties and their respective successors or permitted assigns) any rights, remedies, obligations or liabilities.
