VISUAL INTEGRITY SOFTWARE LICENSE AGREEMENT

PLEASE READ THIS LICENSE AGREEMENT BEFORE LOADING THE
SOFTWARE ONTO YOUR COMPUTER. IF YOU DO NOT ACCEPT THE
TERMS OF THIS AGREEMENT, DO NOT LOAD THE SOFTWARE.
INSTEAD, PROMPTLY RETURN THE ENTIRE PACKAGE TO
VISUAL INTEGRITY.

Definitions
The following definitions apply to the terms as they
appear in this Agreement:
? visual Integrity means Square One bv dba Visual Integrity
? Software means the Software, media and documentation in the package
or download directory.

License Grant
Regardless of whether you have purchased all or part of the Software,
you have received executable code and documentation for all of the
Software, either physically or via computer download.

visual Integrity grants you a nonexclusive license to:
? Load the Software onto your computer's storage device.
? Make one copy of the Software for archival purposes, or copy the
software onto the hard disk of your computer and retain the
original for archival purposes.
? Obtain from visual Integrity a password to enable the
Software to run for the number of users it was licensed for.
? If you have purchased one license, you may use one copy of
the Software on a single computer.
? You may use the Software on a network, provided that you
have a licensed copy of software for each user that will access
the Software over the network. This Software is not ?floating?
or based on simultaneous use.
? If you have purchased a Production License, you may use the
software to convert a specified maximum volume of files
annually dependent on the level of Product License chosen.
? If you have purchased a Developer?s License, you may
integrate Software functionality into your own application
provided the appropriate number of end-user licenses are
purchased for distribution with your derivative work. You may
also use Software to automate a batch process provided the
appropriate Production License is purchased for the
anticipated annual conversion volume.
? If you have purchased a Site-License or have requested
modifications to this standard agreement, please see the end
of this agreement for any special terms that apply.
? Obtain from visual Integrity telephone support for 30 days
following issuance of your password(s).
You may not:
? Run the Software on a computer other than that for which the
password was issued.
? Remove or alter any of visual Integrity's copyright or trademark
notices.
? Sublicense, rent or lease all or part of the Software.
? Use the Programs with the intent to violate any of visual
Integrity's user licensing schemes.
? De-compile, reverse engineer, disassemble or otherwise reduce
the Software to a human-perceivable form.
? Use the Software in any manner to produce, market or support
your own products unless a Developer?s License has been
purchased; your right to use the software is specifically limited to
the right to use the Software as described in this agreement.

visual Integrity at the address below.

Copyright
The Software is copyrighted with all rights reserved. Under the
copyright laws, none of the components of the Software may be
copied or altered, in whole or part, except as provided in this
License Agreement.

Limited Warranty
visual Integrity warrants the media on which the Software is
distributed to be free from defects in materials and workmanship
for 90 days from your receipt of the Software. visual Integrity
will replace defective media at no charge to you, provided you
return such media to visual Integrity within 90 days of receiving
it. If visual Integrity is unable to provide a replacement,
visual Integrity will refund the price you paid for the
Software. In some locales, the replacement period may be different.
VISUAL INTEGRITY DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE. THIS
LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY
HAVE OTHERS, WHICH VARY FROM COUNTRY TO COUNTRY OR STATE
TO STATE.

No Visual Integrity distributor, dealer, agent, or employee is
authorized to make any modification, extension, or addition to
this limitedwarranty.

No Liability for Consequential Damages
In no event will visual Integrity, its licensees, distributors
or dealers be liable for direct, incidental or consequential damages,
including but not limited to damages resulting from loss of data
or business opportunities, resulting from visual Integrity Software,
either alone or in conjunction with other programs.

visual Integrity may terminate your license and prosecute to
the fullest extent of the law if you fail to comply with the terms
and conditions of this agreement.

General
This Agreement constitutes the entire Agreement between you and
visual Integrity. It is governed by the laws of The Netherlands.
Restricted Rights Legend - Applies to United States Government Users
only. Use, duplication, or disclosure by the US Government is subjec
to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in
Technical Data and Computer Software clause in DFAR 52.227-7013
or the equivalent clause in FAR 52.227- 14, whichever is applicable.
