End User Licence Agreement (EULA)

LICENSE AGREEMENT: TERMS AND CONDITIONS OF USE
IMPORTANT NOTICE. This license agreement is a legal agreement between you (either an individual or a single entity) and Flyhoward Ltd. By installing or using the Flyhoward Ltd software in any way you acknowledge that you have read, understand and agree to the terms of this agreement. If you do not agree to these terms, do not install or use this software in any way.

LICENSE GRANT. Flyhoward Ltd grants you a non-exclusive license to use this software, and any associated documentation ("Software") as indicated herein. If you have purchased a Single User License, you may install and use one copy of the Software EITHER on any computer you have exclusive access to, OR to a single computer accessible by many users. The Software is in "use" on a computer when it has been loaded into temporary memory (i.e. RAM) or installed into permanent memory (e.g. hard disk or other storage device) of that computer. For multi-user multi-computer use you must purchase a Multiple User License that enables you to install and use the Software on the number of computers authorized at the time of purchase.

UPGRADE POLICY. Due to the nature of the Software frequent updates may be required. Your purchase entitles you to free software upgrades for minor updates. For major version changes upgrade costs may be incurred beyond the first 12 months after purchase.

OTHER RESTRICTIONS. You shall not: (a) remove any product identification, copyright notices, or other notices or proprietary restrictions from this Software; (b) sell, lease, rent, transfer, copy or distribute all or any part of this Software, registration keys or documentation; (c) cause or permit reverse engineering, disassembly, decompilation or alteration of this Software except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

COPYRIGHT/OWNERSHIP. This Software is licensed and not sold. This Software, its source code and all its documentation, including the online help system are proprietary products of Flyhoward Ltd and are protected by copyright and other international intellectual property laws. You acquire only the right to use the Software and do not acquire any rights, express or implied, in the Software or media containing the Software other than those specified in this License. Flyhoward Ltd shall at all times retain all rights, title, interest, including intellectual property rights, in the Software and media. You may not copy any portion of the software or documentation in any form, except to use this software in accordance with the terms of the agreement or to make one copy for backup purposes. You may not alter the software in any way. If copies of the documentation must be made, you should make them in printed form only

TERM. This License is effective until terminated. You may terminate it at any time by destroying the Software, together with all copies thereof. This license will also terminate if you fail to comply with any term or condition of this Agreement. Upon such termination, you agree to destroy the Software, together with all copies thereof.

DISCLAIMER OF WARRANTIES. This software is distributed 'as is' and you, its user, assume all risks when installing or using it. To the maximum extent permitted by applicable law, Flyhoward Ltd disclaims all warranties express or implied, by operation of law or otherwise. Flyhoward Ltd disclaims the implied warranties of merchantability and fitness for a particular purpose. Flyhoward Ltd does not warrant that the software is non-infringing, that it will meet your requirements or that its operation will be uninterrupted, error-free or virus-free.

LIMITATION OF LIABILITY. In no event shall Flyhoward Ltd be liable for any damages of any kind including direct, indirect, special,
incidental or consequential damages (which shall include without limitation, damages for loss of business or profits, business interruption, loss of business information, or other pecuniary loss) whether based on contract, tort or other legal theory, arising out of the use of or inability to use the software, even if Flyhoward Ltd has been advised of the possibility of such damages.

MISCELLANEOUS. In the event of invalidity of any provision of this agreement, the parties agree that such invalidity shall not affect the validity of the remaining portions. The agreement is governed by the laws of United Kingdom. The United Nations convention on contracts for the international sale of goods is specifically disclaimed. This is the entire agreement between you and Flyhoward Ltd, which supersedes any prior agreement, whether written or oral, relating to this subject matter.

Dieser Endbenutzer-Lizenzvertrag (“EULA”) ist ein rechtsgültiger Vertrag zwischen Ihnen (entweder als natürlicher Person oder als juristischer Person) und Flyhoward Ltd.
Durch die Installation oder Benutzung der Flyhoward Ltd Software in jeglicher Art, bestätigen Sie dass Sie diese Nutzungsvereinbarung gelesen, verstanden und zugestimmt haben. Falls Sie dieser Vereinbarung nicht zustimmen, dürfen Sie die Software weder installieren, noch in anderer Art und Weise nutzen.

NUTZUNGSRECHTE: Flyhoward Ltd erlaubt eine nicht exklusive Nutzung dieser Software und beinhaltende Dokumentationen.
Wenn Sie eine Einzellizenz erworben haben, können Sie die Software entweder auf mehreren Computern installieren, auf denen nur Sie exklusiven Zugriff haben oder auf einem Computer auf den mehrere Anwender Zugriff haben. Die Software gilt als "in Benutzung", wenn sie im Speicher des Computers geladen wurde (z.B. RAM) oder auf einem anderen Speichermedium installiert wurde. Zur Nutzung auf mehreren Computern mit unterschiedlichen Benutzern, müssen Sie eine Mehrfachlizenz erwerben.

UPDATES: Updates sind für kleinere Updates kostenlos. Bei größeren Updates können Kosten anfallen, wenn dieses Update länger als 12 Monate nach dem Kauf der Software ausgeliefert wird.

ANDERE EINSCHRÄNKUNGEN: Sie dürfen in keinem Fall: (a) Produkt Informationen, Copyright Hinweise oder andere Informationen von der Software entfernen. (b) die Software oder Teile davon verkaufen, leasen, vermieten, übertragen, kopieren, verteilen oder Unterlizenzen vergeben. Dies gilt auch für die Lizenznummern und Dokumentationen. (c) Es ist Ihnen untersagt, die Software zu ändern, zu kombinieren, zu modifizieren, anzupassen oder zu übersetzen, sie zu dekompilieren, einer Rückentwicklung zu unterziehen, zu disassemblieren oder in eine visuell erfassbare Form zu bringen.

COPYRIGHT: Diese Software ist lediglich zur Nutzung lizenziert und nicht verkauft. Die Software, der Source Code und die komplette Dokumentation inklusive der Online Hilfe sind geistiges Eigentum der Flyhoward Ltd und geschützt durch Copyright und andere Gesetzte zum Schutz geistigen Eigentums. Sie erhalten lediglich die Nutzungsrechte. Es ist nicht erlaubt, die Software oder Teile davon inklusive der Dokumentation in jeglicher Weise zu kopieren, ausgenommen die Software wird im Einklang mit dieser Vereinbarung verwendet oder zur Erstellung einer Backup Kopie. Die Software darf in keiner Weise verändert werden. Kopien der Dokumentation sind ausschließlich in gedruckter Form zu verwenden.

BEENDIGUNG: Diese Lizenzvereinbarung bleibt bis zu Ihrer Beendigung gültig. Sie können dies Ihrerseits zu jeder Zeit beendigen, in dem Sie die Software und alle Kopien deinstallieren und zerstören. Dies gilt auch, wenn Sie dieser Vereinbarung nicht zustimmen.

DISCLAIMER: Diese Software wird geliefert "wie sie ist" und Sie als Benutzer übernehmen die Risiken bei der Installation und Nutzung der Software. Ansprüche, die auf unabdingbaren gesetzlichen Vorschriften zur Produkthaftung beruhen, bleiben hiervon unberührt. Flyhoward Ltd lehnt jegliche Gewährleistung zur Gebrauchstauglichkeit für bestimmte Anwendungen ab. Flyhoward Ltd gibt auch keine Garantie dafür, dass die Software den verschiedensten Anforderungen genügt und in jedem Fall ununterbrochen, fehlerfrei und virusfrei arbeitet.

HAFTUNGSBESCHRÄNKUNG: Eine Haftung für Schäden jeglicher Art (uneingeschränkt eingeschlossen sind Schäden aus entgangenem Gewinn, Verlust von geschäftlichen Informationen oder aus anderem finanziellen Verlust), die aufgrund der Benutzung dieses Produktes, oder der Unfähigkeit, dieses Produkt zu verwenden, entstehen, wird ausdrücklich ausgeschlossen.

VERSCHIEDENES: Sollten eine oder mehrere Bestimmungen dieses Vertrags oder eine Bestimmung im Rahmen sonstiger Vereinbarungen unwirksam sein oder werden, so wird hiervon die Wirksamkeit aller sonstigen Bestimmungen oder Vereinbarungen nicht berührt. Unwirksame oder fehlende Klauseln sind durch wirksame Klauseln, die dem gewollten Zweck am nächsten kommen, hilfsweise durch entsprechende gesetzliche Regelungen, zu ersetzen. Es gilt das Englische Recht und das der Europäischen Union. Diese Vereinbarung gilt zwischen Ihnen und der Flyhoward Ltd. Sie ersetzt alle vorherigen schriftlichen oder auch mündlichen Vereinbarungen.
