This Terms of Use (hereafter referenced as TOU) governs the use of IDC's Virtual Private Network (hereafter referenced as idcloak VPN) services through IDC's Internet network (hereafter referenced as network) and its website hosted under the Internet domain name idcloak.com. As a user, customer or subscriber (hereafter referenced as you or yours) of IDC's services, your use of IDC's website or services e your acceptance of this TOU. You represent that you are at least eighteen years of age and you have the legal right and ability to agree to this TOU. 1. Offensive Content

You may not publish, transmit, or upload via or to IDC's service any content (including Web content, e-mail, bulletin or forum board postings, and any other type of posting or transmission that relies on any Internet service provided by IDC) that IDC reasonably believes:

contains expressions of hate, abuse, offensive images or conduct, obscenity, pornography, or sexually explicit material;

could give rise to any civil or criminal liability;

is excessively violent, incites violence, threatens violence, or contains harassing content or hate speech;

is unfair or deceptive under the consumer protection laws of any jurisdiction, including chain letters and pyramid schemes;

infringes or assists others on infringing on the intellectual property rights of others or on the privacy or publicity rights of others;

creates a risk to a person's safety or health, creates a risk to public safety or health, compromises national security, or interferes with a investigation by law enforcement;

improperly exposes trade secrets or other confidential or proprietary information of another person;

violates or promotes violation of local, state, national, or international laws, including those regarding drugs, export control, gambling, or arms trafficking;

is otherwise illegal or solicits conduct that is illegal under laws applicable to you or to IDC; or

is otherwise malicious, fraudulent, or may result in retaliation against IDC by offended viewers; or

restricts or inhibits any other person from using or enjoying IDC's service or website, or which, in the judgment of IDC, exposes IDC or any of its customers, users or suppliers to any liability or detriment of any type;


2. Security & Account Protection

You must take reasonable security precautions to prevent the theft of your IDC account. You agree to protect the confidentiality of your IDC account password by using strong passwords that are at least 12 characters in length, compose of randomly mixed upper and lowercase letters and digits. You agree not to share your IDC account password with any party.
3. Material Protected by Copyright

You may not publish, distribute, transmit or otherwise copy to the IDC forum, website or network in any manner any music, software, art, movie, video, video game or other work protected by copyright law unless:

you have been expressly authorized by the owner of the copyright for the work to copy the work in that manner;

you are otherwise permitted by established United States copyright law to copy the work in that manner;

you have sufficient legal rights to copy or transmit the work in that manner.

IDC will terminate the forum account of repeat copyright infringers.

IDC is under no duty, and does not by this TOU undertake a duty, to monitor or police its users' activities and disclaims any responsibility for any misuse of the IDC's network, website or forum.

6. Internet Abuse

You may not engage in illegal, abusive, or irresponsible behavior, including:

Unauthorized access to or use of data, systems or networks, including any attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures (including those belonging to IDC and its customers) without express authorization of the owner of the system or network;

monitoring data or traffic on any network or system without the authorization of the owner of the system or network;

interference with service to any user, host or network including, without limitation, mail bombing, flooding, deliberate attempts to overload a system and broadcast attacks;

use of an Internet account or computer without the owner's authorization, including, but not limited to phishing (tricking other people into releasing account passwords, credit card numbers or other sensitive financial information), password robbery, security hole scanning, and port scanning;

forging of any TCP-IP packet header or any part of the header information in an e-mail or a newsgroup posting; or

any conduct that is likely to result in retaliation against the IDC's network;

use of IDC's network in a way that unreasonably interferes with IDC's other customers use of the network.

7. User or Customer Contributed Content

IDC does not actively monitor any content or materials posted, submitted, or uploaded to its website or forum and does not claim ownership or responsibility of such content or materials. When you post, submit or upload content to IDC's website or forum, you grant IDC and its forum members a perpetual, non-exclusive, royalty-free, worldwide, irrevocable licensable right to exercise any and all database, copyright, trademark, publicity rights in the content, using any media. You further assert that you either own or possess the necessary legal rights in the content posted, submitted or uploaded by you to IDC's website or forum to grant IDC and its forum members the licenses and rights contained herein. You will be held fully and solely responsible for any infringement of copyright incurred by your contributions. IDC shall not be held responsible for contributions that violate copyright law. IDC does not vouch for the accuracy or validity of any content contributed by its users or customers. IDC reserves the right to remove any content posted on its website it deems to be inappropriate for any reason.
8. Indemnification

You agree to defend, indemnify and hold harmless IDC, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, demands, liabilities, obligations, losses, damages, penalties, fines, punitive damages, amounts in interest, expenses and disbursements of any kind and nature whatsoever (including reasonable attorneys fees) brought by a third party under any theory of legal liability arising out of or related to actual or alleged violation of applicable law, breach of this TOU or improper use of IDC's services by you or any person using your IDC account, regardless of whether such person has been authorized to use IDC's services.
9. Forum

IDC RESERVE THE RIGHT TO TERMINATE OR SUSPEND ANY FORUM USER OR ACCOUNT WITH OR WITHOUT NOTICE. THE IDC FORUM IS PROVIDED AS AN “AS IS” AND “AS AVAILABLE” BASIS. IN NO EVENT SHALL IDC BE LIABLE FOR ANY DAMAGE OR LOSS, INCLUDING ANY LOST PROFITS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE LOSS OR DAMAGE OF ANY KIND, ARISING FROM:

TERMINATION, SUSPENSION OR MODIFICATION OF THE FORUM;

TERMINATION OR SUSPENSION OF ANY USER ACCOUNT OR USER ACCESS TO THE FORUM.

12. Limitation of Damages

NOTWITHSTANDING ANYTHING ELSE IN THIS TERMS OF USE TO THE CONTRARY, THE MAXIMUM AGGREGATE LIABILITY OF IDC AND ANY OF ITS EMPLOYEES, AGENTS, AFFILIATES, OR AUTHORIZED RETAILERS, UNDER ANY THEORY OF LAW (INCLUDING BREACH OF CONTRACT, TORT, STRICT LIABILITY, AND INFRINGEMENT) SHALL BE A PAYMENT OF MONEY NOT TO EXCEED THE AMOUNT OF US$20.
13. Requests for Customer or User Information

Customer or user agrees that IDC may, without notice to user or customer:

report to the appropriate authorities any conduct by the customer or user that IDC reasonably and in good faith believes violates applicable law, and

provide any information that it has about the user or customer in response to a formal or informal request from a law enforcement or regulatory agency or in response to a formal request in a civil action that on its face meets the requirements for such a request.

14. Changes to IDC's Network Infrastructure

Upgrades and other changes in IDC's network, including, but not limited to changes in its software, hardware, and service providers, may affect the operation of customer's or user's network. IDC reserves the right to change its network in its commercially reasonable discretion, and IDC shall not be liable for any resulting harm to customer or user.
15. Force Majeure

IDC shall not be in default of any obligation under this Terms of Use if the failure to perform the obligation is due to any event beyond IDC's control, including, without limitation, significant failure of a portion of the power grid, significant failure of the Internet, natural disaster, war, riot, insurrection, epidemic, strikes or other organized labor action, terrorist activity, or other events of a magnitude or type for which precautions are not generally taken in the industry.
16. Governing Law ⁄ Disputes

This Terms of Use shall be governed by the laws of the State of Texas, exclusive of its choice of law principles, and the laws of the United States of America, as applicable. This Terms of Use shall not be governed by the United Nations Convention on the International Sale of Goods. EXCLUSIVE VENUE FOR ALL DISPUTES ARISING OUT OF OR RELATING TO THE TERMS OF USE SHALL BE THE STATE AND FEDERAL COURTS IN DALLAS COUNTY, TEXAS, AND EACH PARTY AGREES NOT TO DISPUTE SUCH PERSONAL JURISDICTION AND WAIVES ALL OBJECTIONS THERETO.

20. IDC idcloak VPN Subscription

IDC's idcloak VPN subscription plans consists of 1, 6, or 12 months subscription periods. Subscribers to IDC idcloak VPN services are entitled to download the IDC VPN client software and install it on any number of devices. However, each subscription plan entitles its associated subscriber to connect to a maximum of 2 IDC VPN servers simultaneously. IDC grants its subscribers a revocable, not sub-licensable, not transferable right to use IDC idcloak VPN Client software and IDC services. The subscriber shall not license, sub-license, sell, resell, transfer, assign the IDC idcloak VPN software or IDC Services to any third party. Abuse or violation of the Terms of Use of IDC idcloak VPN Client software or services will result, in IDC's sole discretion, in the termination of subscriber's IDC account. IDC, at its sole discretion, may suspend the subscriber's account if the subscriber's bandwidth usage significantly exceeds the average usage of other IDC subscribers. All rights expressly not granted to the subscriber are reserved by IDC. No other rights or license in any IDC technology are granted to the subscriber. The subscriber agrees not to modify or create derivative works of idcloak VPN client software. The subscriber further agrees not to translate, reverse engineer, decompile, disassemble the IDC idcloak VPN client software in order to gain insight or access to its source code. The subscriber also agrees not to use IDC's idcloak VPN software and services for developing a service or product that functions similarly.
21. Order Acceptance

IDC's services are subject to availability and IDC reserve the right to refuse service to anyone. If your order is rejected, IDC will provide you with a full refund. If your order is accepted, you will receive an order acceptance email.

22. IDC idcloak VPN Refund Policy For New Subscriptions

Full refund within 14 days from the start of your subscription period if all of the following conditions are met:

You have never claimed any refund from IDC for any of IDC's services in the past.
The total number connection sessions using our idcloak VPN is less than 50 within the first 14 days of your IDC idcloak VPN subscription.
When you claim your refund, your account has not been suspended due to violation of Terms Of Use published on the idcloak.com website.
You have notified IDC via IDC's contact page that you intend to cancel your IDC service for a full refund within first 14 days of your IDC idcloak VPN subscription, and have provided us with your IDC account username so we can process your cancellation request.
You have used less than 7 GB of (upload and download) data transit through IDC's VPN tunnel within the first 14 days of your IDC idcloak VPN subscription.

23. IDC idcloak VPN Refund Policy For Subscription Renewals

Full refund within 14 days from the start of your renewal period if all of the following conditions are met:

You have not used your idcloak VPN subscription since the start of the renewal period.
When you claim your refund, your account has not been suspended due to violation of Terms Of Use published on the idcloak.com website.
You have notified IDC via IDC's contact page that you intend to cancel your IDC service for a full refund within the first 14 days of your IDC idcloak VPN renewal, and have provided us with your IDC account username so we can p
