Software License Agreement

DEFINITIONS
1- “We”, “Our”, “Us” or “Licensor” means Soil Office Software Group.
2- “You”, “Your” or “Licensee” means the person or company who is being licensed to use the Licensor's software in association with this Agreement.
3- “Agreement” means this Software License Agreement between Us and You;
4- “Licensed Software” or “Software” means any of the Licensor's commercial software products being provided to You under this Agreement, including executable program modules as well as related documentation and computer readable media;
5- “Demo Version Software” or “Demo Version” means the version of the Software with limited functionality for education or evaluation purposes.
SOFTWARE LICENSE, RIGHTS & RESTRICTIONS
We hereby grant to You a revocable, non-exclusive license to use the Software solely in order to utilize the products and services under the following circumstances:
1- We warrant that We are the owner of the Licensed Software, and have the right and authority to license the Software to the Licensee.
2- We provide You with ongoing updates to the Licensed Software as We consider needed, which is free of charge during the first year from the date of this Agreement. You can purchase later updates individually.
3- All license fees are non-refundable.
4- You acknowledge that We may collect and store information regarding use of the Software and may use such information for any purpose related to any use of the Software, including but not limited to:
(a) improving the performance of the Software or developing Updates; and
(b) verifying Your compliance with the terms of this Agreement.
5- You are assumed to have thoroughly evaluated the Software and although lots of effort has been made to ensure the accuracy of the Software, the Software is provided “as is” and We do not warrant, guarantee, accept any condition or make any representation that the Software will meet Your requirements or that the use of the Software will be error-free. No other verbal or written information provided by Us will create a warranty or in any way increase Our liability, and You will not rely on such information.
6- You DO NOT have rights to:
(a) distribute, sublicense or otherwise provide copies or any rights in relation to the Licensed Software to any third party;
(b) modify, enhance, reverse-engineer, decompile, disassemble or otherwise attempt to derive or gain access to the source code of the Licensed Software or any part of it.
7- You acknowledge that the Licensed Software, including any associated written materials and other documentation provided under this Agreement, belongs exclusively to Us. You agree to protect the Licensed Software from unauthorized use, reproduction, distribution or publication in electronic or physical form.
DEMO VERSION
All of Our Demo Version Software are free of charge and may be used permanently. It may be FREELY distributed (the name of the Licensor must be included) and therefore cannot be sold to anyone. You may use the Demo Versions for evaluation or educational purposes, consequently no commercial usage or performance is allowed.
You DO NOT have rights to modify, enhance, reverse-engineer, decompile, disassemble or otherwise attempt to derive or gain access to the source code of the Demo Version Software or any part of it.
NO WARRANTY
IN NO EVENT WILL WE OR OUR DISTRIBUTORS, SUPPLIERS OR AFFILIATES BE LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY LOSSES OR DAMAGES INCURRED BY YOU, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL, INCLUDING LOST OR ANTICIPATED PROFITS, SAVINGS, INTERRUPTION TO BUSINESS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF BUSINESS INFORMATION, THE COST OF RECOVERING SUCH LOST INFORMATION, THE COST OF SUBSTITUTE INTELLECTUAL PROPERTY OR ANY OTHER PECUNIARY LOSS ARISING FROM THE USE OF, OR THE INABILITY TO USE, THE LICENSED SOFTWARE REGARDLESS OF WHETHER YOU HAVE ADVISED US OR WE HAVE ADVISED YOU OF THE POSSIBILITY OF SUCH DAMAGES.
MISCELLANEOUS
1- Captions. The Article and paragraph headings used herein are for convenience only and are not a part of this Agreement and do not affect the interpretation of it.
2- Entire Agreement. This Agreement constitutes the entire agreement of the Parties, and no amendment to the terms of this Agreement will be effective.
3- Force Majeure. We shall not be liable for any delay or failure in performance caused by circumstances beyond Our reasonable control.
4- Number and Gender. Where the context permits, the singular includes the plural, and the masculine includes the feminine and vice versa.
